These Terms of Service (“Terms”) govern your access to and use of the bilz.ai platform, including our website, applications, and all related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1.Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The term “you” refers to both you individually and any organization you represent.

2.Service Description

bilz.ai is an AI-powered invoice processing and cost management platform designed for the restaurant and hospitality industry. The Service provides, among other features:

• Automated invoice capture, extraction, and processing using artificial intelligence and machine learning technologies.
• Recipe costing tools that connect ingredient prices from your invoices to your menu items, enabling real-time cost analysis.
• Cost control dashboards and reporting that give you visibility into food costs, supplier pricing trends, and budget variances.
• Integration capabilities with accounting systems, point-of-sale platforms, and supplier networks.

We continuously improve the Service. Features may be added, modified, or retired over time. We will make reasonable efforts to notify you of material changes that affect your use of the platform.

3.Account Responsibilities

To use the Service, you must create an account and provide accurate, complete, and up-to-date information. You are responsible for:

• Maintaining the confidentiality of your account credentials, including passwords and API keys.
• All activity that occurs under your account, whether authorized by you or not.

5.Intellectual Property

The Service, including all software, algorithms, models, designs, text, graphics, logos, and documentation, is the exclusive property of bilz.ai and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms. This license terminates automatically if you violate any provision of these Terms.

Any feedback, suggestions, or ideas you provide about the Service may be used by bilz.ai without obligation or compensation to you.

6.Data Processing & Ownership

You retain full ownership of all data you upload, submit, or generate through the Service (“Your Data”). bilz.ai does not claim any ownership rights over Your Data.

By using the Service, you grant bilz.ai a limited, non-exclusive license to process, store, and analyze Your Data solely for the purpose of providing, maintaining, and improving the Service. This includes using AI and machine learning technologies to extract information from invoices, calculate costs, and generate insights for your benefit.

We implement appropriate technical and organizational measures to protect Your Data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). For more information about how we handle your personal data, please refer to our Privacy Policy.

Upon termination of your account, you may request an export of Your Data for a period of 30 days. After this period, we may delete Your Data from our systems in accordance with our data retention policies.

7.Service Availability & Disclaimers

We strive to maintain high availability and reliability of the Service. However, the Service is provided on an “as is” and “as available” basis. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times.
• The results obtained from AI-powered features, including invoice data extraction and cost calculations, will be completely accurate. You are responsible for reviewing and verifying AI-generated outputs.
• The Service will meet all of your specific requirements or expectations.

We may perform scheduled maintenance that temporarily affects availability. We will make reasonable efforts to provide advance notice of planned downtime.

To the maximum extent permitted by applicable law, bilz.ai disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.Limitation of Liability

To the maximum extent permitted by applicable law, bilz.ai and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to bilz.ai during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

9.Termination

You may terminate your account at any time by contacting us at [email protected] or through your account settings. Upon termination, your right to access and use the Service ceases immediately.

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. In the event of termination for cause (such as a material breach of these Terms), we may terminate access immediately without prior notice.

Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, disclaimers, limitations of liability, and governing law.

10.Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable national laws of the Member State in which bilz.ai is established, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in the jurisdiction where bilz.ai is registered. For consumers residing in the European Union, this does not affect your right to bring proceedings in the courts of your country of residence as provided by applicable law.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

11.Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on this page and updating the “Last updated” date. For significant changes, we may also notify you via email or through an in-app notification.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.
